Terms of service
These terms govern the websites, software products and professional services provided by AGGREGATIVE VALUE SOLUTIONS AGGVAL LLC ("AggVal", "we", "us"). By using a service, creating an account, accepting a proposal or completing a purchase, you agree to these terms and to any product-specific terms shown before purchase.
Services
AggVal provides business software, digital services, consulting, custom development, integrations, implementation and technical support. The applicable product page, checkout, proposal, order or invoice defines the purchased scope, price, currency, billing period and delivery terms.
Product-specific terms prevail over these general terms only for the matter they expressly address.
Eligibility and accounts
You must be legally able to enter into a contract. When acting for an organization, you confirm that you are authorized to bind it.
You are responsible for accurate account information, protecting credentials and all activity under your account. Notify contact@aggval.com promptly if you suspect unauthorized access.
Prices, payment and renewal
Prices and taxes are disclosed before purchase. Unless otherwise stated, fees are charged in advance and must be paid through the available payment method.
A recurring subscription renews automatically for the same billing period until cancelled. You may cancel before the next renewal date. Cancellation and refunds are governed by the Refund and Cancellation Policy.
Late or failed payment may result in restricted access or suspension after reasonable notice. You remain responsible for amounts already due.
Professional and custom work
Consulting, implementation, custom development and integration work may be governed by an accepted proposal, statement of work or invoice. Changes outside the agreed scope may require a new estimate, additional fees or revised delivery dates.
Delivery dates are estimates unless a written agreement expressly makes them binding. Delays caused by missing information, credentials, approvals or third-party systems extend the applicable schedule.
Customer data and responsibilities
You retain ownership of data you submit. You authorize AggVal to process it only as needed to provide, secure and support the service, comply with law and follow your lawful instructions.
You are responsible for the accuracy and legality of submitted data, for having the necessary rights and permissions, and for maintaining your own copies of important information when appropriate.
Acceptable use
You may not use the services to:
- violate law, third-party rights or platform rules;
- access accounts, systems or data without authorization;
- distribute malware, spam or harmful content;
- interfere with service security, availability or usage limits;
- impersonate others or misrepresent your affiliation;
- resell or sublicense a service unless a written agreement permits it.
We may investigate suspected abuse and restrict or suspend access when reasonably necessary to protect customers, the service or third parties.
Third-party services
Some services depend on hosting providers, payment processors, APIs, websites, app stores or other third parties. AggVal does not control their availability, policies, prices or technical changes and is not responsible for failures caused solely by them. We will make reasonable efforts to communicate material impacts and offer practical alternatives when available.
Intellectual property
AggVal and its licensors retain all rights in the software, brands, documentation and website content. A paid subscription grants only a limited, non-exclusive, non-transferable right to use the applicable service during the paid term.
Customer-specific deliverables are licensed or assigned only as stated in the applicable written proposal or agreement.
Availability and changes
We use reasonable efforts to keep services available and secure, but no specific uptime or service level is promised unless stated in a separate written agreement. We may improve, replace or discontinue features. When a material change adversely affects an active paid service, we will provide reasonable notice when practicable.
Suspension and termination
You may stop using a service or cancel a subscription as described in the Refund and Cancellation Policy. We may suspend or terminate access for non-payment, material breach, unlawful use, security risk or conduct that harms the service or others.
After termination, access to customer data may be limited or removed. Export and retention periods may be defined by the applicable product or agreement.
Disclaimer and limitation of liability
Services are provided on an "as available" basis. To the maximum extent permitted by law, AggVal disclaims implied warranties and is not liable for indirect, incidental, special or consequential damages, lost profits, lost business or loss caused by third-party services.
AggVal's total liability arising from a service is limited to the amount paid for that service during the twelve months before the event giving rise to the claim. This limitation does not apply where liability cannot legally be limited or excluded.
Governing law and disputes
These terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law rules. Except where mandatory law gives a customer another forum, disputes are subject to the state or federal courts located in Bernalillo County, New Mexico.
Before filing a claim, the parties will make a good-faith effort to resolve it through written communication.
Changes and contact
We may update these terms. The version published when a purchase is made governs that purchase unless a later version is accepted or mandatory law requires otherwise.
